These Terms & Conditions (“Terms”) govern your access to nexalabs.shop (the “Site”) and any purchase you make from Nexa Labs LLC (“Nexa Labs”, “we”, “us”). By using the Site or placing an order, you agree to these Terms. If you do not agree to them, please do not use the Site.

1. Eligibility

You must be at least 21 years old and legally capable of forming a binding contract to use the Site or place an order. By ordering, you confirm that you meet that requirement and that the information you provide is accurate. We may refuse or cancel any order at our discretion, and we may ask for proof of age or of research affiliation before we ship.

2. Research use only

Every product Nexa Labs sells is supplied strictly for laboratory research and development. Consistent with 21 CFR 809.10(c)(2), products are supplied “For Research Use Only. Not for use in diagnostic procedures.”

Our products are not drugs, foods, cosmetics, or medical devices. They are not intended to diagnose, treat, cure, or prevent any disease, and they are not for human or veterinary consumption or administration. By ordering, you represent that:

• you are a qualified researcher, or you order on behalf of an institution or business with a legitimate research purpose;
• you will use the material only for in-vitro research or analytical method development;
• you will not administer it to humans or animals, resell it for such use, or represent it as suitable for such use;
• you are competent to handle experimental compounds, and you will store, handle, and dispose of them in accordance with applicable law and accepted laboratory safety practice.

Reselling, repackaging, or redistributing our products for human consumption is a material breach of these Terms and ends your right to purchase from us.

3. No medical claims and no medical advice

Nexa Labs does not provide medical advice. Any description of a compound’s mechanism, any reference to published literature, and any reported observation on the Site is offered as scientific and educational reference only. None of it is a claim of safety or efficacy in humans, a recommendation for use, or an endorsement of any application outside controlled research.

4. Certificates of Analysis

Where we publish a Certificate of Analysis, it reports testing performed by an independent analytical laboratory on one specific lot, on the date shown, for the analytes listed. It speaks to that lot alone. It is not a warranty of suitability for any purpose, and it does not make us responsible for how material is stored, handled, or used after delivery.

5. Orders, pricing, and payment

A product listing is an invitation to order, not an offer. A contract forms only when we accept your order and dispatch it. We may correct pricing or description errors and cancel affected orders even after payment has been taken, in which case we refund the affected order in full. Prices are in US dollars and exclude shipping and any taxes or duties, which are your responsibility.

6. Shipping and delivery

Delivery timeframes are estimates and not guarantees. Risk of loss and title pass to you on delivery to the carrier. You are responsible for confirming that you may lawfully receive the material at your destination and for meeting any import requirements that apply. Our Shipping Policy sets out further detail.

7. Returns and refunds

Because these are research materials whose integrity depends on storage conditions we cannot verify once a package has left us, returns are necessarily limited. Our Refund and Returns Policy forms part of these Terms and explains when we accept a return and how to raise a problem with an order.

8. Assumption of risk

Our products are experimental materials whose properties may not be fully characterised. You assume all risk arising from your purchase, possession, handling, storage, use, and disposal of them.

9. Disclaimer of warranties

Apart from the lot-specific analytical results we publish, the Site and everything sold through it are provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted or error-free.

10. Limitation of liability

To the fullest extent permitted by law, Nexa Labs and its members, officers, employees, and suppliers are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profit, data, or business, however caused. Our total liability for any claim relating to a product or an order will not exceed the amount you paid for that product.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

11. Indemnity

You agree to indemnify and hold harmless Nexa Labs and its members, officers, and employees against any claim, damage, loss, liability, or expense (including reasonable legal fees) arising from your breach of these Terms, your misuse of a product, or your violation of any law or third-party right.

12. Acceptable use

You may not use the Site to break the law, to interfere with its operation or security, to scrape or harvest data by automated means without our written consent, or to misrepresent your identity or the purpose of your order.

13. Accounts

You are responsible for keeping your account credentials confidential and for activity that occurs under your account. Tell us promptly if you suspect unauthorised use. We may suspend or close any account that breaches these Terms.

14. Intellectual property

The Site’s content, including text, product descriptions, images, layout, and branding, belongs to Nexa Labs or its licensors and is protected by copyright and trade mark law. You may not copy, reproduce, or redistribute it without our written permission. Nexa Labs™ is a trade mark of Nexa Labs LLC.

15. Third-party links

The Site may link to third-party websites or documents, including laboratory reports hosted elsewhere. We do not control those resources and are not responsible for their content or practices.

16. Changes to these Terms

We may update these Terms from time to time. The version that applies to your order is the one published here when you place it, and the “last updated” date above records when the Terms last changed. Continuing to use the Site after a change means you accept the revised Terms.

17. Governing law and jurisdiction

These Terms are governed by the laws of the State of Missouri, without regard to its conflict-of-laws rules. You and Nexa Labs agree that the state and federal courts serving St. Louis County, Missouri have exclusive jurisdiction over any dispute arising out of these Terms or any order, and you consent to venue in those courts.

18. Severability and waiver

If any provision of these Terms is held unenforceable, it will be severed to the minimum extent necessary and the remaining provisions stay in force. Our failure to enforce a provision is not a waiver of it.

19. Entire agreement

These Terms, together with our Privacy Policy, Shipping Policy, and Refund and Returns Policy, form the entire agreement between you and Nexa Labs regarding your use of the Site, and supersede any earlier understanding.
